Our client, a rapidly expanding technology enterprise, is in search of a commercially astute Senior Finance Director to spearhead its finance function during a critical phase of growth. Reporting directly to the CEO, this senior executive will collaborate closely with the Board and shareholders to define corporate strategy, enhance financial performance, secure essential capital, execute strategic acquisitions, and prepare the organization for a future initial public offering (IPO). This pivotal leadership role demands a finance professional with extensive expertise in corporate finance, capital markets, fundraising, and mergers & acquisitions (M&A) within a dynamic technology landscape.

Key Responsibilities

Strategic Leadership & Financial Governance

As the CEO’s trusted financial advisor, you will play a central role in shaping business strategy and driving long-term value creation. Your responsibilities will include:

• Leading the development and execution of corporate financial strategy, capital allocation, and comprehensive business planning initiatives.
• Providing strategic financial insights to support growth initiatives, expansion efforts, and high-impact investment decisions.
• Ensuring robust financial governance, compliance with international financial reporting standards (IFRS), and adherence to Saudi regulatory requirements.
• Optimizing liquidity, working capital management, and overall financial performance to sustain scalable growth.

Capital Raising & Investor Relations

You will lead all aspects of capital raising and investor engagement, including:

• Spearheading equity and debt fundraising initiatives with institutional investors, private equity firms, venture capital groups, and financial institutions.
• Developing compelling investment materials, financial models, and business cases to attract and secure capital.
• Managing relationships with shareholders, investors, banking partners, and external financial advisors to foster trust and transparency.

Mergers & Acquisitions (M&A)

Your expertise will be critical in identifying, evaluating, and executing strategic transactions, including:

• Leading the end-to-end M&A process, from origination, valuation, and due diligence to negotiation, execution, and post-acquisition integration.
• Developing sophisticated financial models and structuring transaction frameworks to maximize value creation.
• Overseeing integration efforts to realize synergies, streamline operations, and enhance shareholder value.

IPO Readiness & Public Market Preparation

You will drive the company’s transition to public markets by ensuring all financial, governance, and reporting frameworks meet the stringent requirements of public market regulators. This includes:

• Leading the IPO readiness strategy, encompassing financial controls, internal audit processes, and compliance frameworks.
• Collaborating with investment banks, legal advisors, auditors, and regulatory bodies throughout the listing process.
• Supporting all financial aspects of the IPO to ensure a successful public offering and sustained investor confidence.

Financial Leadership & Operational Excellence

You will oversee the full spectrum of financial operations, including:

• Directing financial planning & analysis (FP&A), budgeting, forecasting, treasury, cash flow management, and financial reporting.
• Ensuring accurate and timely financial statements, tax compliance, and audit readiness.
• Implementing process improvements, automation, and digital transformation initiatives to enhance efficiency and scalability within the finance function.

Team Leadership & Organizational Development

You will build and lead a high-performing finance team by:

• Recruiting, developing, and mentoring top-tier finance professionals to foster a culture of accountability, performance, and continuous improvement.
• Driving finance transformation initiatives to align with the company’s growth trajectory and strategic objectives.
• Serving as a mentor and role model, instilling best practices in financial management and corporate governance.

Candidate Profile

Education & Qualifications

• Bachelor’s degree in Finance, Accounting, Economics, or a related discipline from a recognized institution.
• Advanced degree (MBA) and/or professional certification (CPA, ACA, ACCA, or CMA) is highly preferred.

Professional Experience

• Minimum of 15 years of progressive finance leadership experience, with a proven track record in senior finance roles such as Finance Director, Senior Finance Director, VP Finance, or Chief Financial Officer (CFO).
• Demonstrated experience within technology, SaaS, fintech, software, or digital business sectors.
• Mandatory experience operating in Saudi Arabia, with a deep understanding of local regulatory frameworks, tax structures, and business environments.
• Proven success in leading capital raising initiatives, including debt financing and investor engagement.
• Extensive experience executing M&A transactions from origination through integration and synergy realization.
• Hands-on experience preparing a business for an IPO or supporting a public listing process.
• Strong expertise in corporate finance, financial modeling, valuation methodologies, treasury management, and capital markets.

• Native fluency in Arabic and professional proficiency in English.
